Guest Post Author Agreement

You have written an article or created a photograph, graphics, drawings, a video, a design, an animation, or some other content that you have submitted to us for publication (the “Content”). Once you submit and we agree to publish the Content, the Content will be ours, and you will no longer have any ownership rights to the Content. That means—and please forgive the legalese—that you hereby assign, transfer, grant and convey to us and our successors and assigns, free and clear of all encumbrances or limitations of every kind, all of your worldwide right, title and interest in, to and under the Content. You shall not publish, copy, sell, or redistribute (except as provided for herein) the Content without our prior written consent from writers@urbanette.com. If you allow the re-publishing of this article after it has been submitted to Urbanette, you agree to pay a $2000. fine due 30 days after the article was submitted to Urbanette.

By submitting Content to us, you agree that the Content may be viewed by others, and that you will have no right to delete or require us to delete, edit, or otherwise modify the Content.

We don’t want previously published Content, or Content that is not your work, and submitting such to us could have legal ramifications. You shall not submit to us any Content that is not your own. You represent that the Content you submit has not been previously published, is your original work (and you have not plagiarized it), and does not contain any defamatory, libelous, or unlawful matter, that it complies with our rules, and that it does not violate or infringe any copyright rights or other rights of any third party. You agree to indemnify and hold us harmless for any damages or other losses, including court costs and attorneys’ fees, we suffer resulting from any claims, lawsuits, administrative hearings, or other actions related to or resulting from any breach of this paragraph.

We may benefit commercially from the Content by using it to attract advertisers to our publications. You understand that we have no obligation to provide you with any data or other information that we may obtain concerning the Content, publications, or advertisers, except as described in this agreement. If we suspect that you are submitting the Content while working for a marketing agency, or that the ‘author’ is not a real human, then you automatically waive all rights to the content, including author credit.

If we accept the Content for publication, it will be published in our print and/or online publications, with attribution (unless otherwise requested by you). You acknowledge that such publication is good and valuable consideration for the Content. To be clear, we will not pay you for the Content or for any of the time you spend or the other activities you perform related to the Content, but the consideration you will receive is to have the Content published in Urbanette.

We do have an incentive program. If we publish the Content you submit to us, you will be eligible for the program, which may provide you with cash or other rewards for the Content. The amount of cash or other rewards provided to you, if any, will be determined by various factors, including but not limited to the number of shares of the Content on social media. We’ll publish the factors that determine how awards are made and make that available to you. We retain the right to modify or terminate the incentive program at any time and at our sole discretion.

If you are getting paid by any organization, company, brand, or person to write and/or post and/or promote the article that you submitted to us, and you do not disclose this to us prior to publication, then you agree to pay a $10,000. sponsorship fee to Urbanette, with payment due 30 days from the date the article is published on Urbanette.com. By submitting this article to us you and, any marketing/advertising company that you work for, waive all rights to fight this fine.

Promotion

You agree to spend at least four hours promoting your article, from 4pm CET to 8pm CET on the day it is published. During that time, you agree to message everyone you can find that writes about or is part of an organization that is related to the topic of your article, asking them to please excerpt (no more than 300 words) and link to, or share your article.

Using the Urbanette Brand/Name

You agree to notify Urbanette about every reference to Urbanette that you add to any website (for example, but not limited to, LinkedIn, your portfolio, association websites, etc.) You agree to remove any reference to Urbanette upon demand from Urbanette.

You agree to notify us in writing if you received any remuneration (trips, product, discounts, payment, etc.) in exchange for any article (or link, or part of an article) submitted to Urbanette, or used Urbanette as a reference in any way. If you do not notify us, there will be an immediate $10,000 fine for each instance, which does not limit our ability to take further legal action. You also agree never to claim that you have authorization to publish articles in Urbanette or our social media. You agree never to use Urbanette or our social media in any way when applying to receive trips, products, services, hotel stays, discounts or free stuff, etc. If you do, there will be an immediate $10,000 fine for every instance, which does not limit our rights to take further legal action.

Reciprocation

Urbanette may ask you to publish an interview with Hilary Rowland in reciprocation for the added exposure that Urbanette publishing a guest post gives. If this is required, you agree to work with Hilary Rowland to publish an interview in your blog that fits with the theme of your blog. The final interview must be approved by Urbanette prior to publication. You also agree to make any modifications that Urbanette requests, and/or remove the interview if requested. You agree to (unless you receive a request from Urbanette to the contrary) leave the interview on your blog for at least two years. You also agree to link to Urbanette.com with a follow link, from the interview in your blog.

You’ll submit Content to us through a digital interface. You use the digital interface at your own risk and it is available to you on an “as is” basis. We do not represent or warrant that the digital interface will be uninterrupted, timely, secure, or error-free. We will not be liable for any direct, indirect, incidental, special, consequential or exemplary damages resulting from your use of the digital interface.

You shall be solely responsible for the payment of any and all taxes that are or may become due from you with respect to the incentives and rewards given and paid to you under this agreement. We shall not withhold FICA, income taxes, or any other taxes from any amounts due to you under this agreement, except in the case of a levy by a proper taxing authority on amounts due to you. You hereby indemnify and hold us harmless for any taxes, interest, or penalties assessed against us by any taxing authority as a result of your failure to pay any amounts owed by you to the taxing authority; you will reimburse us for any such taxes, interest, or penalties, if any, that we are required to pay.

This agreement will be construed and interpreted in accordance with worldwide laws, including the laws of the United States of America and the country of France. The parties consent to the jurisdiction of Urbanette’s choosing for the purpose of resolving all issues of law, equity, or fact arising out of or in connection with this agreement. Venue, for the purpose of all lawsuits brought in state court, will be in the location of Urbanette’s choosing.
